Welcome to Cofferral. These Terms of Use ("Terms") govern your access to and use of the Cofferral platform ("Platform"). By registering an account or using any part of the Platform, you agree to these Terms.

1. Overview of the Platform

Cofferral provides two core services: Role Simulations and Coffee Chats. Seekers can start a Coffee Chat in two ways: invite a Sharer directly, or post a Request through Career Support so eligible Sharers can respond. Referral Opportunity may be available in connection with an eligible Coffee Chat, as described in Section 8.

1.1 Role Simulations

Role Simulations are structured, AI-powered interactive experiences designed to reflect responsibilities and decisions associated with a specific role.

1.2 Coffee Chats

A “Coffee Chat” is a scheduled online meeting between a Seeker and a Sharer for professional discussion and guidance.

1.3 Ways to Arrange a Coffee Chat

1.3.1 Direct Invitations

A Seeker may invite a Sharer to a Coffee Chat. The Sharer may accept or decline the invitation.

1.3.2 Career Support

Through Career Support, a Seeker may post a Request describing the support they are seeking. Eligible Sharers may respond, and the Seeker decides whether to proceed with a response.

1.4 Referral Opportunity

Referral Opportunity allows a Seeker to indicate that they would like to be considered for a referral after an eligible Coffee Chat, whether the Coffee Chat is arranged through a Direct Invitation or Career Support. It does not guarantee a referral or require the Sharer to provide or pursue one.

Cofferral defines service structure, pricing, credit systems, and user experience standards. Sharers support services as qualified collaborators within this structure. Cofferral does not act as an employment agency and does not guarantee employment or referral outcomes.

2. User Roles

2.1 Seeker

All registered users begin as Seekers and may access Role Simulations and seek a Coffee Chat by sending a Direct Invitation or posting a Request through Career Support.

2.2 Sharer

Sharers are approved users who support Cofferral’s services. This may include contributing structured professional information that may support Role Simulations, hosting Coffee Chats, accepting or declining Direct Invitations, and responding to Requests. Only users who meet the Platform’s applicable Sharer eligibility and approval requirements may respond to Requests. Sharers retain full Seeker privileges.

3. Eligibility and Account Responsibilities

3.1 Users of All Ages

The Platform is available to users of all ages, subject to applicable law. If you are under the age of majority in your jurisdiction, you may use the Platform only with the knowledge and support of a parent or legal guardian, as applicable.

3.2 Users Under 14

If you are under 14 years of age, your parent or legal guardian must provide any consent required by applicable law for Cofferral to collect, use, or disclose your personal information. Cofferral may restrict account creation or access to particular features until the required consent is obtained or verified.

3.3 Capacity and Paid Features

Nothing in these Terms permits a minor to enter into a transaction or exercise a civil right that the minor is not legally capable of undertaking alone. Where required by applicable law, a parent or legal guardian must authorize or complete purchases, payouts, or other legally significant actions on behalf of the minor.

3.4 Account Responsibilities

You are responsible for safeguarding your login credentials and for all activity conducted through your account. A parent or legal guardian who authorizes a minor’s use of the Platform is responsible for supervising that use and for any authorization or consent provided on the minor’s behalf.

4. Virtual Credits and Payments

Cofferral uses two types of virtual credits: Coffee Beans and Coffee Cups. Neither is legal tender. Coffee Beans are used to access eligible Platform services, while Coffee Cups are earned by Sharers through qualifying Coffee Chats and may be eligible for withdrawal under these Terms.

4.1 Coffee Beans

Coffee Beans are Platform credits that users may purchase or receive under these Terms.

4.1.1 Use for Services

Role Simulations and Coffee Chats that require payment are priced and displayed in Coffee Beans. Beans are deducted when a Role Simulation begins or handled through Pending status for a Coffee Chat as described below.

4.1.2 Purchase Price

The cash purchase price of Coffee Beans, together with any applicable taxes, is displayed at checkout before the purchase is completed.

4.1.3 Pending Status and Deduction

  • (i) Role Simulations — Beans are deducted at the start of the session.
  • (ii) Coffee Chats — the required Beans are placed in Pending status when the Coffee Chat is confirmed. Pending Beans are deducted, partially deducted, or released in accordance with the applicable completion, cancellation, and no-show rules in these Terms.

4.1.4 Purchase Terms

No minimum purchase quantity is required. Coffee Bean purchases are final and non-refundable, except where otherwise required by applicable law.

4.1.5 Restrictions

Coffee Beans cannot be redeemed for cash, withdrawn, transferred between users, or converted into Coffee Cups.

4.2 Coffee Cups

Coffee Cups are reward credits earned by Sharers through qualifying Coffee Chats. Coffee Cups cannot be purchased.

4.2.1 Earned From

Coffee Cups are earned only from Coffee Chats that qualify for Coffee Cup rewards under these Terms, including completed Coffee Chats and Coffee Chats recorded as a Seeker no-show.

Late-cancellation compensation paid to a Sharer in Coffee Beans is not a Coffee Cup reward.

4.2.2 Reward Availability, Withdrawal, Conversion, and Donation

When a Coffee Chat qualifies for a Coffee Cup reward, the applicable Coffee Cups enter Upcoming status immediately after the Coffee Chat is completed or recorded as a Seeker no-show. They become Available 14 days after that final outcome is recorded.

Available Coffee Cups may be withdrawn at any time through supported payout providers or converted into Coffee Beans at the rate displayed before confirmation. The cash amount available for withdrawal is displayed before the Sharer confirms the withdrawal. Where the Platform makes a donation option available, Available Coffee Cups may also be donated through the options displayed before confirmation. Availability of withdrawal, conversion, and donation options may vary.

4.2.3 Restrictions

Coffee Cups cannot be purchased or transferred between users. Conversion is one-way: Coffee Cups may be converted into Coffee Beans, but Coffee Beans cannot be converted into Coffee Cups.

4.3 Transactions and Processing

4.3.1 Processing

Coffee Bean purchases and eligible Coffee Cup withdrawals, conversions, and donations are securely managed by Cofferral or trusted third-party service providers.

4.3.2 Reporting

Coffee Bean and Coffee Cup movements are recorded for auditing and reconciliation purposes. Users may access applicable transaction history through My Account – Wallet.

4.3.3 Credit Status

Coffee Beans and Coffee Cups are governed solely by Cofferral and may be used, converted, withdrawn, or donated only as expressly permitted by these Terms and through functionality made available by the Platform. Neither is legal tender or transferable outside the Platform.

5. Role Simulation Services

Role Simulations are structured, AI-powered interactive experiences.

5.1 Service Operation

Role Simulations are generated and delivered through Cofferral’s AI systems and may incorporate structured professional information provided by approved Sharers where applicable. Sharers do not participate in or supervise individual Role Simulation sessions.

5.2 Data and Storage

Role Simulation responses, summaries, and interaction logs may be securely stored for quality assurance, compliance monitoring, and Platform improvement.

5.3 Public Role Simulation Certificate

After completing a Role Simulation, a user receives a public Certificate. The Certificate displays certain information from the user’s Platform profile together with selected performance highlights from the Role Simulation. Detailed responses and interaction logs are not displayed on the Certificate.

Because the Certificate is publicly accessible, it may be viewed and shared by others. By completing a Role Simulation, the user acknowledges this public availability. The Certificate confirms completion and presents selected highlights only. It does not guarantee employment, a referral, or any other outcome, and it does not constitute an endorsement by Cofferral or any Sharer.

6. Coffee Chat Services

Regardless of how a Coffee Chat is started, it is confirmed only when the Seeker confirms the proposed time. Where Beans are required, the applicable Beans are placed in Pending status at confirmation.

6.1 Duration and Direct Invitation Pricing

For a Coffee Chat arranged through a Direct Invitation, each 15-minute unit costs the Seeker 15 Coffee Beans and rewards the Sharer with 1 Coffee Cup when the Coffee Chat qualifies for the standard reward. Longer displayed Coffee Chat durations are priced and rewarded in corresponding 15-minute units.

Cofferral may suggest a Coffee Chat duration, but the suggestion is not mandatory. Any Coffee Chat duration displayed on the Platform will be a multiple of 15 minutes.

6.2 Cancellation by a Seeker

If a Seeker cancels more than 24 hours before the scheduled start time, the Pending Beans are released to the Seeker and no cancellation compensation is issued to the Sharer.

A Seeker may cancel from 24 hours before the scheduled start time until 10 minutes before the scheduled start time. A cancellation within this window is a “Late Cancellation.” In that window, 20% of the Pending Beans are deducted from the Seeker and the same number of Coffee Beans is credited to the Sharer as cancellation compensation. The remaining Pending Beans are released to the Seeker. Cancellation compensation is issued in Coffee Beans, not Coffee Cups.

After the 10-minute cancellation cutoff, cancellation is not available. If the Seeker does not attend, the Coffee Chat is treated as a Seeker no-show and Section 6.4(a) applies.

6.3 Cancellation by a Sharer

A Sharer may cancel a Coffee Chat until 10 minutes before the scheduled start time. If the Sharer cancels within the permitted cancellation window, all Pending Beans are released to the Seeker and the Sharer receives no Coffee Beans or Coffee Cups in connection with the cancelled Coffee Chat. No Bean- or Cup-based penalty is imposed on the Sharer.

A Sharer cancellation made from 24 hours before the scheduled start time until 10 minutes before the scheduled start time is a Late Cancellation. Repeated Late Cancellations may affect the Sharer’s performance metrics, account visibility, or Platform standing. The Coffee Chat is recorded as cancelled, not completed.

After the 10-minute cancellation cutoff, cancellation is not available. If the Sharer does not attend, the Coffee Chat is treated as a Sharer no-show and Section 6.4(b) applies.

6.4 Attendance, Completion, and No-Shows

The Coffee Chat room opens 10 minutes before the scheduled start time and remains available through the scheduled end time. If at least one participant remains in the room after the scheduled end time, the Coffee Chat may continue. Once the room becomes empty after the scheduled end time, it closes and cannot be re-entered.

A 15-minute grace period begins at the scheduled start time. A participant who does not join within 15 minutes after the scheduled start time is treated as a no-show.

Once both the Seeker and the Sharer have joined, the Coffee Chat is treated as completed for payment and reward purposes. All Pending Beans are deducted from the Seeker, and the Sharer receives the Coffee Cups ordinarily awarded for the Coffee Chat. A later departure or disconnection does not change this settlement.

(a) Seeker No-Show

If the Seeker does not join within 15 minutes after the scheduled start time, all Pending Beans are deducted from the Seeker. The Sharer receives the Coffee Cups ordinarily awarded for the Coffee Chat, and the Coffee Chat is recorded as a Seeker no-show.

(b) Sharer No-Show

If the Sharer does not join within 15 minutes after the scheduled start time, all Pending Beans are released to the Seeker. The Sharer receives no Coffee Cups, and the Coffee Chat is recorded as a Sharer no-show.

6.5 Free Coffee Chats

Where a Coffee Chat is designated as free, there is no Bean-based cancellation or no-show penalty and no corresponding Bean compensation or Coffee Cup reward. Repeated no-shows or Late Cancellations may still affect account visibility, performance metrics, or Platform standing.

6.6 Operational Records and Enforcement

Cofferral may use attendance records, join and leave events, connection data, Coffee Chat activity, and other Platform event data to determine cancellation, no-show, completion, and reward outcomes, investigate misuse, and resolve disputes. Repeated no-shows, Late Cancellations, or misuse of Coffee Chat features may affect account visibility, performance metrics, or standing.

6.7 Recording and Monitoring

Coffee Chats may be recorded for quality assurance, compliance, and dispute resolution. Recordings are securely stored and not publicly shared without explicit participant consent.

7. Career Support

Career Support uses Cofferral’s Request Marketplace to help Seekers connect with eligible Sharers for a Coffee Chat.

7.1 Publishing a Request

A Seeker may publish a Request through Career Support. Every published Request is public and may be viewed by anyone, including visitors who are not registered or signed in.

7.2 Responding and Participation

Only eligible, approved Sharers may respond to a Request. Each response creates a separate record between the Seeker and Sharer (a “Participation”). A response does not itself create a Coffee Chat; the Coffee Chat is formed only after the Seeker selects and confirms a response.

7.3 Coffee Chat Rules

Coffee Chats started through Career Support follow the same cancellation, attendance, completion, no-show, recording, and enforcement rules described in Section 6.

7.4 Cup Appreciation

A Seeker may choose how many Coffee Cups of Appreciation to offer for a Participation. Each Coffee Cup requires 15 Coffee Beans, and the eligible Sharer receives the number of Coffee Cups offered, subject to the completion and attendance rules in these Terms.

If no Cup Appreciation is offered, no Beans are placed in Pending status, no Bean-based penalty or compensation applies, and no Coffee Cups are awarded for that Coffee Chat.

8. Referral Opportunity

Referral Opportunity is an optional indication that a Seeker would like to be considered for a referral after an eligible Coffee Chat. It may be available whether the Coffee Chat is arranged through a Direct Invitation or Career Support. It is an expression of interest only and is not a separate referral service.

8.1 Seeker Interest and Sharer Discretion

Referral Opportunity records only the Seeker’s interest in being considered for a referral. It does not create a formal referral request, guarantee a referral or employment outcome, or require the Sharer to discuss, pursue, or provide a referral. Any referral decision remains entirely at the Sharer’s discretion.

8.2 Coffee Chat Rules and Current Platform Scope

A Direct Invitation Coffee Chat associated with Referral Opportunity follows Section 6. A Coffee Chat arranged through Career Support follows Sections 6 and 7. Referral Opportunity does not change the applicable Coffee Bean, Coffee Cup, cancellation, attendance, no-show, or completion rules.

8.3 Compliance and Responsibility

If a Sharer independently decides to consider or provide a referral, the Sharer is responsible for complying with applicable law and the policies of their current or former employer. Cofferral does not control referral decisions and does not guarantee any referral or employment outcome.

9. Taxes and Reporting

9.1 Sales Taxes

Cofferral collects applicable sales taxes where required by law. Applicable sales tax is calculated at checkout based on the user’s billing region.

9.2 User Tax Responsibility

Users are solely responsible for understanding and fulfilling their own tax obligations arising from their use of the Platform, including income reporting and applicable local taxes.

9.3 Sharer Income Reporting – Canada

Canadian Sharers must provide a valid SIN once annual payouts exceed CAD $500. Cofferral does not withhold income tax.

9.4 Sharer Income Reporting – Other Jurisdictions

Sharers outside Canada are responsible for complying with local tax reporting obligations. Cofferral may provide income summaries for self-reporting purposes.

10. Data Protection

Personal data is processed in accordance with the Cofferral Privacy Policy.

Role Simulation data and public Certificate content, Coffee Chat recordings, Direct Invitation, Request, response, Participation, and Referral Opportunity data, Coffee Bean and Coffee Cup transaction records, and verification data are securely stored and processed for operational and compliance purposes.

Sensitive information (e.g., SIN) is encrypted and subject to strict access controls.

11. Community Standards

Users must engage respectfully and professionally. Prohibited conduct includes harassment, discrimination, misrepresentation, abuse of platform systems, or manipulation of credit mechanisms.

Violations may result in warnings, reduced visibility, suspension, or termination.

12. Intellectual Property

All platform content, software, and trademarks are the property of Cofferral or its licensors.

Users retain ownership of uploaded content but grant Cofferral a limited license to use such content for service delivery, compliance, and platform improvement.

13. Account Suspension and Inactivity

13.1 Grounds for Suspension

Cofferral may temporarily freeze or permanently suspend accounts under circumstances including:

  • (i) Repeated Late Cancellations, no-shows, misuse of Coffee Chat features, unprofessional conduct, or violations of Community Standards.
  • (ii) Suspected fraud, identity misrepresentation, or abuse of platform features.
  • (iii) Failure to provide required tax or verification documentation (e.g., SIN).
  • (iv) Extended inactivity, defined as no login activity for a continuous period of 24 months.

13.2 Notice and Review

Users will be notified of enforcement actions where reasonably practicable and may contact support to request review. Account access may be restored once the issue is resolved and any required documentation is provided.

13.3 Effects of Suspension

During suspension:

  • (i) Coffee Cup withdrawal, conversion, and, where available, donation functions may be disabled.
  • (ii) Newly generated rewards may be withheld until the account is reactivated.
  • (iii) Cofferral is not responsible for delays or issues caused by outdated, incorrect, or compromised payout account information associated with a suspended account.

14. Disclaimer of Warranties

The Platform is provided "as is" and "as available." Cofferral does not guarantee uninterrupted access or specific career outcomes.

15. Limitation of Liability

To the maximum extent permitted by law, Cofferral shall not be liable for indirect, incidental, or consequential damages arising from use of the Platform.

16. Governing Law

These Terms are governed by the laws of the Province of Quebec, Canada. Any disputes shall be brought exclusively in the courts located in Montreal, Quebec.

17. Modifications

Cofferral may update these Terms periodically. Continued use after updates constitutes acceptance of the revised Terms.

18. Entire Agreement

These Terms constitute the entire agreement between you and Cofferral regarding use of the Platform.
