Welcome to Cofferral. These Terms of Use ("Terms") govern your access to and use of the Cofferral platform ("Platform"). By registering an account or using any part of the Platform, you agree to these Terms.

1. Overview of the Platform

Cofferral is a career platform built around two integrated experiences: (a) Role Simulations and (b) Meetings (Coffee Chats), with optional referral exploration features.

1.1 Role Simulations

Role Simulations are structured, AI-powered interactive experiences designed to reflect responsibilities and decisions associated with a specific role.

There are two types: (a) Non-Verified Simulations — generated solely by Cofferral's AI systems. (b) Verified Simulations — generated by Cofferral's AI systems using structured information provided by an approved user ("Sharer") who has claimed experience in that role.

1.2 Meetings (Coffee Chats)

Meetings are scheduled video conversations between Seekers and Sharers for professional discussion and guidance.

1.3 Referral Exploration

After completing an eligible interaction (a Verified Simulation associated with a Sharer or a Meeting with that Sharer), a Seeker may unlock an opportunity to request referral exploration. Referral decisions remain entirely at the Sharer's discretion.

Cofferral defines service structure, pricing, credit systems, and user experience standards. Sharers support services as qualified collaborators within this structure. Cofferral does not act as an employment agency and does not guarantee employment or referral outcomes.

2. User Roles

2.1 Seeker

All registered users begin as Seekers and may access Role Simulations and request Meetings.

2.2 Sharer

Sharers are approved users who support Cofferral's services. This may include contributing structured information to Verified Simulations and/or hosting Meetings. Sharers retain full Seeker privileges.

3. Eligibility and Account Responsibilities

  • Cofferral is open to users of all ages. If you are under the age of majority in your jurisdiction, you must use the Platform with the knowledge and support of a parent or guardian.
  • You are responsible for safeguarding login credentials and for all activity conducted through your account.

4. Virtual Credits and Payments

Cofferral operates a dual-credit system consisting of Coffee Beans and Coffee Cups. These are virtual credits with no legal tender value and no value outside the Platform.

4.1 Coffee Beans

Coffee Beans are prepaid credits used to access Role Simulations and confirm Meetings.

(a) Required for Starting Role Simulations and confirming Meetings.

(b) Pricing Region-specific and displayed before confirmation.

(c) Deduction

(i) Simulations — deducted at the start of the session.

(ii) Meetings — placed on hold upon booking and deducted upon successful completion.

(d) Purchase Terms No minimum purchase quantity is required.

(e) Refund Policy Purchases are final and non-refundable.

(f) Taxes Applicable sales tax is calculated at checkout based on the user's billing region.

(g) Restrictions Beans cannot be withdrawn, donated, or converted into Cups.

4.2 Coffee Cups

Coffee Cups represent earnings accrued by Sharers under platform-defined rules.

(a) Earned from

(i) Completed Verified Simulations associated with a claimed role.

(ii) Completed Meetings.

(b) Settlement Included in the regular bi-weekly Coffee Cups settlement cycle.

(c) Redemption Options

(i) Withdraw through supported payout providers.

(ii) Donate where available.

(iii) Convert into Coffee Beans at a fixed platform rate.

(d) Conversion Rule Conversion is one-way. Beans cannot be converted into Cups.

4.3 Transactions and Processing

(a) Processing All purchases, withdrawals, donations, and conversions are securely managed either by Cofferral or by trusted third-party payment processors.

(b) Reporting All Coffee Beans and Coffee Cups movements are recorded in real time for auditing and reconciliation purposes. Sharers may access their transaction history through their My Account – Wallet.

(c) Credit Status Coffee Beans and Coffee Cups are virtual credits governed solely by Cofferral and have no transferable or legal value outside the Platform.

5. Simulation Services

Role Simulations are AI-powered interactive experiences.

5.1 Non-Verified Simulations

Generated entirely by Cofferral's AI systems.

5.2 Verified Simulations

Generated using structured information provided by approved Sharers who have claimed experience in a role. Sharers do not participate in or supervise individual simulation sessions.

5.3 Data and Storage

Simulation responses, summaries, and interaction logs may be securely stored for quality assurance, compliance monitoring, and platform improvement.

5.4 Referral Context Summaries

If a Seeker submits a referral exploration request after completing a Verified Simulation, a structured summary may be shared with the associated Sharer for context. Such summaries are informational only and do not constitute evaluation, endorsement, or certification.

6. Meeting Services

A Meeting is confirmed once a Sharer accepts a request and the Seeker confirms by placing the required Beans on hold.

6.1 Cancellation

Meetings may be cancelled subject to platform-defined time windows. Cancellations made sufficiently in advance may not incur penalties. Short-notice cancellations may result in partial deductions of Coffee Beans or impact account standing, in accordance with platform rules in effect at the time of cancellation.

6.2 Attendance and Grace Period

A standard grace period applies at the scheduled start time. If one party does not join within the defined grace window, the Meeting may be marked as a no-show.

6.3 No-show and Abandonment Allocation

If a Meeting is marked as no-show or abandoned, Coffee Beans and Coffee Cups may be partially or fully allocated, refunded, or forfeited according to the Platform's published policies. Repeated no-shows, late cancellations, or abandoned sessions may affect account visibility, performance metrics, or standing.

6.4 Free Sessions

Where Meetings are designated as free sessions, credit-based penalties do not apply. However, repeated missed or cancelled sessions may still impact account visibility or platform standing.

6.5 Operational Rule Disclosure

Detailed operational rules, including applicable percentages, minimums, maximums, and time thresholds, are disclosed to users at the relevant stages of booking, confirmation, cancellation, or attendance within the Platform interface and may be updated from time to time.

6.6 Recording and Monitoring

Meetings may be recorded for quality assurance, compliance, and dispute resolution. Recordings are securely stored and not publicly shared without explicit participant consent.

7. Referral Feature

Referral exploration is optional and unlocked after eligible interactions.

7.1 Submission Requirements

A referral request requires submission of a CV and, where applicable, responses to pre-set questions.

7.2 Sharer Discretion

Sharers independently review and decide whether to proceed. Referral exploration does not guarantee a referral or employment outcome.

7.3 Access Lifecycle

Access to submitted referral materials is limited to the active lifecycle of a request and is automatically revoked if the request is declined, expires, or not followed by a scheduled follow-up chat.

7.4 Referral Follow-Up Discussion

If a Sharer accepts a referral exploration request, the parties may schedule a complimentary follow-up discussion through the Platform to clarify referral-related considerations. Acceptance of a referral exploration request does not obligate the Sharer to provide a referral.

7.5 Compliance and Responsibility

Sharers are solely responsible for ensuring that any referral actions comply with the policies of their current or former employers. Referral exploration is part of the Platform's structured services. Sharers assist within this structure and do not independently offer referral services outside the Platform.

8. Taxes and Reporting

(a) Sales Taxes

Cofferral collects applicable sales taxes where required by law. Applicable sales tax is calculated at checkout based on the user's billing region.

(b) User Tax Responsibility

Users are solely responsible for understanding and fulfilling their own tax obligations arising from their use of the Platform, including income reporting and applicable local taxes.

(c) Sharer Income Reporting – Canada

Canadian Sharers must provide a valid SIN once annual payouts exceed CAD $500. Cofferral does not withhold income tax.

(d) Sharer Income Reporting – Other Jurisdictions

Sharers outside Canada are responsible for complying with local tax reporting obligations. Cofferral may provide income summaries for self-reporting purposes.

9. Data Protection

Personal data is processed in accordance with the Cofferral Privacy Policy.

Simulation data, Meeting recordings, referral materials, and verification data are securely stored and processed for operational and compliance purposes.

Sensitive information (e.g., SIN) is encrypted and subject to strict access controls.

10. Community Standards

Users must engage respectfully and professionally. Prohibited conduct includes harassment, discrimination, misrepresentation, abuse of platform systems, or manipulation of credit mechanisms.

Violations may result in warnings, reduced visibility, suspension, or termination.

11. Intellectual Property

All platform content, software, and trademarks are the property of Cofferral or its licensors.

Users retain ownership of uploaded content but grant Cofferral a limited license to use such content for service delivery, compliance, and platform improvement.

12. Account Suspension and Inactivity

12.1 Grounds for Suspension

Cofferral may temporarily freeze or permanently suspend accounts under circumstances including:

  • (i) Repeated no-shows, unprofessional conduct, or violations of Community Standards;
  • (ii) Suspected fraud, identity misrepresentation, or abuse of platform features;
  • (iii) Failure to provide required tax or verification documentation (e.g., SIN);
  • (iv) Extended inactivity, defined as no login activity for a continuous period of 24 months.

12.2 Notice and Review

Users will be notified of enforcement actions where reasonably practicable and may contact support to request review. Account access may be restored once the issue is resolved and any required documentation is provided.

12.3 Effects of Suspension

During suspension:

  • (i) Withdrawal, donation, and conversion functions may be disabled;
  • (ii) Newly generated rewards may be withheld until the account is reactivated;
  • (iii) Cofferral is not responsible for delays or issues caused by outdated, incorrect, or compromised payout account information associated with a suspended account.

13. Disclaimer of Warranties

The Platform is provided "as is" and "as available." Cofferral does not guarantee uninterrupted access or specific career outcomes.

14. Limitation of Liability

To the maximum extent permitted by law, Cofferral shall not be liable for indirect, incidental, or consequential damages arising from use of the Platform.

15. Governing Law

These Terms are governed by the laws of the Province of Quebec, Canada. Any disputes shall be brought exclusively in the courts located in Montreal, Quebec.

16. Modifications

Cofferral may update these Terms periodically. Continued use after updates constitutes acceptance of the revised Terms.
