Welcome to Cofferral. These Terms of Use ("Terms") govern your access to and use of the Cofferral platform ("Platform"). By registering an account or using any part of the Platform, you agree to comply with these Terms. Please review them carefully.

1. Overview of Services

Cofferral provides structured educational and professional consulting services through its digital platform. All services are delivered by the Cofferral Platform and supported by qualified collaborators known as "Sharers."

Seekers may browse topics and request scheduled video conversations (“Coffee Chats”) with Sharers. Sharers assist the Platform by helping fulfill these sessions.

Cofferral is solely responsible for defining service scope, quality, and compensation. Any service issues should be directed to Cofferral support, as the Platform assumes full responsibility for the user experience.

2. Eligibility and Account Responsibilities

  • Cofferral is open to users of all ages. If you are under the age of majority in your jurisdiction, you must use the Platform with the knowledge and support of a parent or guardian.
  • Users are responsible for safeguarding their login credentials and for all activities conducted through their account.

3. Virtual Credits and Payments

Cofferral operates on a dual-credit system designed to facilitate and reward professional conversations across the platform. These credits—Coffee Beans and Coffee Cups—are not legal currency and hold value only within the Cofferral ecosystem.

Coffee Beans

Coffee Beans are prepaid virtual credits used by Seekers to confirm Coffee Chats.

  • Who can purchase: Any user (Seekers or Sharers)
  • Unit price: Region-specific (e.g., $0.80 CAD per Bean)
  • Usage: Required to confirm a Coffee Chat after a Sharer accepts the request
  • Consumption rule: The number of Beans required is based on the chat's scheduled length, using a standard platform rate — this total is always shown before you book.
  • Purchase terms: No minimum quantity; purchases are final and non-refundable
  • Taxes: Local sales tax is calculated at checkout based on the user's billing region

Coffee Cups

Coffee Cups are credits allocated to Sharers based on their participation and performance in Coffee Chats.

  • Unit value: Region-specific payout value (e.g., $3.00 CAD per Cup)
  • Allocation: Based on platform-defined performance and engagement criteria
  • Redemption options:
    • Withdraw: Convert Cups to real-money payout (no minimum balance required)
    • Donate (upcoming soon): Contribute Cups to pre-approved charitable causes
    • Convert: Exchange Cups into Beans at a fixed rate
  • Conversion rate: 1 Cup = 4.5 Beans (rounded down to nearest whole number)

    One-way conversion: Beans cannot be converted back into Cups

Transactions and Processing

  • Processing: All purchases, withdrawals, donations, and conversions are securely managed either by Cofferral or by third-party payment processors.
  • Reporting: All credit movements are recorded in real-time for auditing and reconciliation. Sharers can access their full transaction history via their My Account - Wallet.
  • Payout compliance:
    • Canadian Sharers must provide a valid SIN once annual payouts exceed CAD $500.
    • For Sharers in other regions, Cofferral provides income summaries for self-reporting.
  • Coffee Beans and Coffee Cups are virtual credits governed solely by Cofferral and have no transferable or legal value outside the Platform.

4. Cancellation, No-Show, and Abandonment Policy

Meeting Confirmation

A Coffee Chat is considered confirmed once the Sharer has accepted the Seeker’s request and the Seeker has confirmed the session by placing the required number of Coffee Beans on hold.

Note: All penalties outlined below apply only to paid Coffee Chats. For free sessions, while penalties are not enforced due to the absence of Bean transactions, repeated missed or cancelled sessions are discouraged and may still affect platform visibility.

Meeting Marked as Cancelled

Conditions:

  • A confirmed session can be cancelled without penalty more than 24 hours before the scheduled start time.
  • Cancellations made between 10 minutes and 24 hours before the session are allowed but subject to penalties.
  • Within 10 minutes of the scheduled start time, cancellation is no longer possible and participants may only choose to join the meeting.

Outcomes:

If the Seeker cancels between 10 minutes and 24 hours before the scheduled start time:
A 20% penalty applies, with a minimum deduction of 6 and a maximum of 12 Coffee Beans from the Seeker’s on-hold balance.
If the Sharer cancels between 10 minutes and 24 hours before the scheduled start time:
  • May negatively affect performance score and platform visibility.
  • Frequent short-notice cancellations may lead to reduced prioritization in search results.

Meeting Marked as No-show or Abandoned

Conditions:
  • If one party does not join within 15 minutes of the scheduled start time, the session is marked as no-show.
  • If one party enters the meeting and leaves within the first 15 minutes of the scheduled start time before the other arrives, the session is marked as abandoned.
Outcomes:

If the Seeker does not join or abandons the meeting:

  • 50% of the required Beans are deducted (minimum 15, maximum 30)
  • Any remaining Beans are refunded to the Seeker’s available balance
  • The Sharer receives 50% of the scheduled duration (minimum 15, maximum 30 minutes) in Coffee Cups

If the Sharer does not join or abandons the meeting:

  • The Seeker’s Beans are fully refunded
  • The Sharer receives no Coffee Cups
  • Repeated no-shows or abandonments may reduce profile visibility and negatively impact account standing

5. Referral Requests

  • The Platform offers an optional referral feature after a completed Coffee Chat.
  • If the Sharer agrees, they may participate in a follow-up referral chat (free of charge, 15 minutes).
  • All referrals are voluntary and the outcome is not guaranteed.
  • Sharers are responsible for ensuring compliance with their former or current employer’s referral policies.
  • Referrals are part of the Platform’s structured services—Sharers assist in execution but do not independently offer them.

6. Taxes and Earnings Reporting

  • Cofferral collects taxes where required by law, based on applicable laws and its registered tax jurisdictions. Sales tax is calculated automatically at checkout by our payment processor.
  • Users are solely responsible for understanding and fulfilling their own local tax obligations related to any income or usage of the Platform.
  • Canadian Sharers: Required to submit a valid SIN if earnings exceed CAD $500 annually. T4A slips will be issued. Taxes are not withheld.
  • Non-Canadian Sharers: Must self-report earnings. Cofferral does not issue tax forms, but may provide income summaries.

7. Data Protection and Privacy

We prioritize user privacy and security. Personal data, including identity verification documents and uploaded CVs, are stored securely and used only for the purpose of delivering services and complying with legal requirements. Sensitive data such as SINs (for Canadian users) are encrypted and handled with strict confidentiality.

8. Community Standards and Code of Conduct

Users must engage respectfully and professionally. Prohibited actions include:

  • Harassment, discrimination, or abuse
  • Misrepresentation of identity or intent
  • Inappropriate content during chats or on profiles
  • Dishonest or manipulative behavior

Violations may lead to warnings, account restrictions, or suspension.

9. Intellectual Property

All content, trademarks, and software related to the Platform are the property of Cofferral or its licensors. Users may not copy, distribute, or exploit any part of the Platform without explicit permission.

Users retain ownership of content they upload (e.g., CVs or profile information), but grant Cofferral a limited license to use it solely for service delivery.

10. Dispute Resolution

We encourage users to resolve any disputes or concerns through respectful communication and with the assistance of our support team.

If an issue cannot be resolved internally, these Terms shall be governed by the laws of the Province of Quebec, Canada, without regard to conflict of laws principles. Any legal action or proceeding arising under or related to the Platform shall be brought exclusively in the courts located in Montreal, Quebec, Canada.

By using the Platform, you consent to the personal jurisdiction and venue of these courts.

11. Account Freezing and Suspension

Cofferral may temporarily freeze or permanently suspend accounts under the following circumstances:

  • Repeated no-shows or unprofessional conduct
  • Suspected fraud, identity misrepresentation, or abuse of platform features
  • Failure to provide required tax documentation (e.g., SIN)
  • Violation of community standards or these Terms
  • Extended inactivity — if an account shows no login activity for a continuous period of 24 months, Cofferral may temporarily suspend the account to protect user data and payment integrity.

Users will be notified of any enforcement actions taken and may appeal such decisions through our support channel. Account access may be restored once the issue is resolved and required documentation is provided.

  • Withdrawal, donation, and conversion functions will be temporarily disabled.
  • Any newly generated rewards—including those from the Evergreen Rewards Program—will not be paid out until the account is reactivated.
  • Cofferral is not responsible for any delays or issues caused by outdated or compromised payout account information associated with a suspended account.

12. Modifications and Termination

We may update these Terms from time to time. Any material changes will be communicated through the Platform. Continued use after such updates constitutes acceptance of the revised Terms.

Users may terminate their account by contacting support. Cofferral may suspend or terminate accounts in cases of misuse, fraud, or violations of these Terms.

13. Disclaimer of Warranties

The Platform is provided “as is” and “as available,” without warranties of any kind, express or implied. Cofferral does not guarantee uninterrupted access, reliability of services, or any specific outcome resulting from the use of the Platform.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Cofferral shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform.

16. Entire Agreement

These Terms constitute the entire agreement between you and Cofferral regarding use of the Platform and supersede any prior agreements or understandings, whether oral or written.
